Plain-language summary

The service
MeetVIA provides a digital platform that allows businesses trading across the Georgia–Türkiye–EU corridor to: (a) negotiate and record trade terms; (b) hold transaction funds in escrow with MeetVIA acting as neutral escrow agent; and (c) release settled amounts in the currency required by each party — GEL, TRY, EUR, or USD.
MeetVIA is not a bank. We are a licensed payment institution. We do not extend credit, provide investment advice, or guarantee the performance of either party to an underlying trade.

Eligibility
You may use the platform only if you:
- are a legally registered business entity in Georgia, Türkiye, or an EU member state;
- have authority to bind your business to these Terms;
- are not listed on any applicable sanctions list (UN, EU, US OFAC, or Georgian/Turkish equivalents); and
- are not engaged in any activity listed under Prohibited Use (section 8).
We reserve the right to decline or close any account that does not meet these requirements.

Account registration
You must complete our KYC/KYB process before making or receiving any payment. This includes providing company registration documents, UBO details, and identity verification for authorised individuals. You agree to keep your information current and to notify us promptly of any material changes.
You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

How escrow works
Escrow flow
Funding
The buyer funds the escrow by transferring the agreed amount to a MeetVIA segregated account. Funds are held separately from MeetVIA's own assets and are not available to MeetVIA's creditors.
Release conditions
Release conditions are agreed by both parties at the time of creating a transaction. Common conditions include: proof of shipment, arrival confirmation, or delivery acceptance. Conditions are recorded on the platform and cannot be changed unilaterally after both parties have confirmed them.
Release instruction
Once the buyer issues a release instruction on the platform, MeetVIA initiates settlement to the seller within one business day, subject to any regulatory checks. MeetVIA does not release funds on the instruction of only one party unless a dispute has been resolved under section 7.
Cancellation before release
If both parties agree to cancel a transaction before a release instruction is issued, MeetVIA will return escrowed funds to the buyer, less any applicable fees, within three business days.

FX and settlement
You select the settlement currency for each party at the time you create a transaction. The FX rate applied is the live mid-market rate at the moment you instruct settlement, plus our stated spread (published on the platform).
Rate risk notice
We display the rate and total FX cost before you confirm settlement. Your confirmation is binding.

Fees
Our current fee schedule is published on the platform and is incorporated into these Terms by reference. We charge:
- a platform fee per transaction (a percentage of the escrow amount);
- an FX spread on any cross-currency settlement; and
- a dispute-handling fee if you invoke the dispute process in section 7.
We will notify you of fee changes at least 30 days in advance. Continued use of the platform after the notice period constitutes acceptance of the updated fees.

Disputes
If the buyer and seller cannot agree on whether a release condition has been met, either party may raise a formal dispute on the platform. The following process applies:
- Notice. The disputing party submits written reasons and supporting evidence via the platform.
- Response period. The other party has 5 business days to respond.
- MeetVIA review. We review the evidence and issue a decision within 10 business days. Our decision is based solely on whether documented release conditions appear to have been met; we do not assess the quality of goods or services.
- Settlement. We release funds in accordance with our decision. Either party may challenge our decision through binding arbitration (see section 10).
MeetVIA's role as escrow agent is neutral. Participation in the dispute process does not create a legal or advisory relationship between MeetVIA and either party beyond that of escrow agent.

Prohibited use
You may not use the platform to transact in:
- goods or services subject to international sanctions or export controls;
- weapons, narcotics, or controlled substances;
- proceeds of crime or any activity that would constitute money laundering;
- goods or services that are illegal in the jurisdiction of either party; or
- any transaction intended to circumvent AML or tax-reporting obligations.
We may freeze escrowed funds, suspend your account, and report suspicious activity to the relevant authorities if we have reasonable grounds to suspect prohibited use.

Liability
MeetVIA's liability to you is limited to the direct loss caused by our own breach of these Terms or our wilful misconduct. We are not liable for: losses arising from your counterparty's failure to perform an underlying trade; exchange-rate movements; banking delays outside our control; or indirect, consequential, or speculative losses.
To the maximum extent permitted by applicable law, our aggregate liability to you in respect of any transaction is capped at the escrow amount held for that transaction.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

Governing law and dispute resolution
These Terms are governed by the laws of Georgia. Disputes between you and MeetVIA that cannot be resolved informally shall be referred to binding arbitration administered by the Georgian International Arbitration Centre (GIAC) in Tbilisi, with proceedings conducted in English.
If you are an EU consumer or a business whose dispute falls within EU consumer-protection rules, you retain the right to bring a claim in the courts of your habitual residence.
Nothing prevents either party from seeking urgent interim relief from a court of competent jurisdiction before arbitration is constituted.

Changes to these Terms
We may update these Terms to reflect regulatory changes, new features, or operational changes. We will notify registered users by email at least 30 days before material changes take effect. If you do not agree with an updated version, you may close your account before the new Terms take effect.
